1. Agreement to Terms

These Terms of Use ("Terms") form a binding agreement between you and Wingardium ("we," "our," or "us"). By accessing or using our website, applications, or services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Wingardium provides AI-assisted portfolio parsing and analysis tools for informational and educational purposes. We integrate with third-party services including Clerk (authentication), Supabase (database), OpenAI (AI analysis), Yahoo Finance (market data), Polar (subscriptions and payments), and Vercel (hosting and analytics).

The Service may analyze your self-provided portfolio data, compute metrics, and present insights. Outputs may contain errors or omissions and should be independently verified.

3. No Investment, Legal, or Tax Advice

Wingardium is not a broker-dealer, investment adviser, or fiduciary. We provide data and insights, not recommendations. Content and outputs are for informational purposes only and do not constitute investment, legal, tax, or other professional advice. You’re responsible for your investment decisions.

4. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the authority to enter into these Terms.

5. Accounts and Security

• You must provide accurate account information and keep it up to date.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.

6. Acceptable Use

• Do not use the Service for unlawful, harmful, or fraudulent purposes.
• Do not attempt to access data that is not yours or bypass access controls.
• Do not reverse engineer, scrape, or misuse API endpoints or third-party integrations.
• Do not submit sensitive personal data that is unnecessary for portfolio analysis.

7. Subscriptions and Billing

Paid features are offered via subscriptions processed by Polar. By purchasing a subscription, you authorize Polar to charge your payment method in accordance with the applicable plan. Subscription status is validated via Polar; if payment fails or a subscription lapses, access to paid features may be suspended or terminated.

Unless otherwise stated, subscriptions renew automatically until canceled. You can manage or cancel your subscription via your account portal at any time.

Refunds

• Refunds may be granted for verified billing errors or unauthorized charges.
• Partial refunds for unused time are generally not provided unless required by applicable consumer laws.
• Contact support@wingardium.app within 14 days of the charge in question for assistance.
• This refunds section does not affect any mandatory rights you may have under local law (e.g., EEA/UK/Swiss consumer protections).

8. Market Data and Third Parties

Market data and certain content are provided by Yahoo Finance and other third parties and are presented "as is" for informational purposes. We do not guarantee accuracy, completeness, timeliness, or availability of third-party data or services. Your use of third-party services is subject to their respective terms and privacy policies.

9. Intellectual Property

The Service, including content, features, and software, is owned by or licensed to Wingardium and is protected by intellectual property laws. You receive a limited, revocable, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

10. User Content

You retain ownership of portfolio data and other content you submit. You grant us a non-exclusive, worldwide license to host, process, and display such content solely to operate and improve the Service. You represent that you have all necessary rights to submit the content and that it does not infringe third-party rights.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGARDIUM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Wingardium from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violations of these Terms or suspected fraudulent activity. Upon termination, your right to use the Service will cease immediately.

15. Changes to the Service and Terms

We may modify or discontinue parts of the Service at any time. We may update these Terms from time to time; material changes will be indicated by updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of your place of residence if required by local law, otherwise the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Delaware, unless otherwise required by applicable consumer law.

If you are an EEA, UK, or Swiss resident, you may benefit from mandatory consumer protections under local law, which apply in addition to these Terms.
